Terms & Conditions

1. About these terms
These Terms & Conditions govern access to and use of the thread platform, website and related services. By creating a workspace, starting a free trial or using the platform, the customer agrees to these terms.
thread is provided by thread ("we", "us"). Where the customer is an organisation, the individual accepting these terms confirms they are authorised to do so on the organisation's behalf.
2. The service
thread preserves and connects conversations designated by the customer in order to build an organisational record. thread does not adjudicate disputes, determine outcomes or provide legal, HR or employment advice.
We may improve, adapt or discontinue individual features. Where a change materially reduces functionality, we will give reasonable notice.
3. Free trial
Each plan includes a 30-day free trial with access to the full plan. No payment details are required to begin. At the end of the trial the customer may subscribe or request deletion of the workspace and its contents.
4. Subscriptions, fees and renewal
Subscription fees are stated on the pricing page, exclude VAT and are billed monthly in advance unless otherwise agreed. Plans renew automatically until cancelled.
Where headcount exceeds the plan band, we will notify the customer's administrators and allow one full billing cycle to move to the appropriate plan.
5. Customer responsibilities
The customer is responsible for deciding which conversations are connected to thread, for informing participants, for establishing a lawful basis for processing, and for administering access within its workspace.
The customer must not use thread for covert monitoring or in any way that breaches applicable employment, privacy or data protection law.
6. Data protection
In respect of customer content, the customer is the controller and thread is the processor. Processing is governed by our data processing terms, which form part of this agreement and reflect UK GDPR requirements.

7. Confidentiality and security
Each party will protect the other's confidential information. We maintain technical and organisational measures appropriate to the sensitivity of the content held within thread, including access controls, encryption in transit and at rest, and audit logging.
8. Intellectual property
We retain all rights in the thread platform. The customer retains all rights in its content. The customer grants us a limited licence to process that content solely to provide the service.
9. Availability and support
We aim to provide a consistently available service and publish support response targets by plan. Planned maintenance will be notified in advance wherever practicable.
10. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited. Subject to that, our aggregate liability is limited to the fees paid in the twelve months preceding the claim.
thread provides evidence, not conclusions. We are not liable for decisions taken by the customer on the basis of information held in the platform.
11. Suspension and termination
Either party may terminate for material breach that remains unremedied after thirty days' written notice. On termination, the customer may export its content, after which it is deleted in line with the agreed retention period.
12. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
